INTRODUCTION & BACKGROUND

The West Yorkshire Ticketing Company Limited (“WYTCL”) wishes to appoint a person to perform the role of Company Secretary, including the requirement to carry out the tasks outlined below. The WYCTL is a joint venture between bus and rail operators and the West Yorkshire Combined Authority (“WYCA”). Each year, we create and sell over £33m of multi-operator and multi-modal public transport tickets for use by passengers travelling in West Yorkshire.

COMPANY SECRETARY

Summary of Tasks

The Company Secretary is required to take overall Governance, Financial, Secretarial and Administrative responsibility for the affairs of the West Yorkshire Ticketing Company Limited (WYTCL).

Reporting Relationships

The Company Secretary is responsible through the Commercial Development Manager to the WYTCL Board.

Duties and Essential Functions

  1. To provide Governance, Secretarial, Administrative and Financial support to the Chair/Commercial Development Manager/Board. Please note: the financial activities are in relation to the company’s direct costs; the administration of the MCard ticketing scheme is carried out on the company’s behalf by WYCA.
  2. Together with the Commercial Development Manager, ensure the provisions of the WYCTL Joint Venture Agreement (“JVA”) are observed and to undertake a periodic review of the JVA, recommending appropriate revisions to the Board.
  3. Together with the Commercial Development Manager, administer and manage the WYTCL Bank Account (online).
  4. To liaise with the appointed Auditors in the production of the Annual Accounts and submission of our Corporation Tax return.
  5. To compile the Annual Statement for inclusion in the Annual Accounts.
  6. To ensure the annual renewal of the Management Liability Policy.
  7. To maintain the Register of Members and Shareholdings.
  8. To administrate resignations from and additions to the Board.
  9. To liaise with the appointed corporate governance and compliance services company to ensure statutory requirements and credentials are up to date.
  10. To liaise with the appointed corporate governance and compliance services company to ensure Company House documents are up to date.
  11. To maintain contact with selected WYCA employees to encourage the processing of agreed data and information.
  12. To provide Managerial support to the Chair/Commercial Development Manager/Board when required.
  13. To provide precise Minutes and action points of Board meetings to the Chair/Commercial Development Manager/Board.
  14. To provide notes and action points of Finance Group meetings to Finance Group/Chair/ Commercial Development Manager/Board.
  15. To produce agenda and provide Minutes of the Annual General meeting and circulate same to WYTCL members/Chair/ Commercial Development Manager /Board.
  16. To organise the annual meetings cycle of the Board and its working groups, ensure rooms have been booked, and circulate the meeting invitations via MS Outlook.

 

APPLICATION PROCESS

Requirements

The Company Secretary will spend approximately 48 to 52 working days, of which up to 15 are for meetings (taken to be 7.5 hours per working day, excluding breaks) per year carrying out their tasks. The number of days worked each month fluctuates due to the scheduling of meetings. Any anticipated increase in this requirement should be agreed with the Commercial Development Manager.

The Company Secretary will be expected to work from home. Most regular WYTCL meetings are held at the offices of WYCA in Leeds.

Fees and costs

Proposals are sought from suitably qualified people to fulfil this role on a self-employed basis. The daily rate is £200.00 (£26.67 per hour) and if appropriate, reasonable travelling and meal expenses will be met. The Company Secretary shall issue a monthly invoice for work undertaken and payment will be made within 30 days.
